1. Acceptance of Terms

2.3 No Guarantee of Approval
Submitting an application does not guarantee approval for funding. All applications are subject to underwriting review, credit evaluation, and approval criteria. We reserve the right to deny any application at our sole discretion.
2.4 Service Availability
Services are provided subject to availability and may not be available in all states or jurisdictions. We reserve the right to:
- Limit or deny service to any person or business
- Modify or discontinue any service at any time
- Change eligibility requirements
- Refuse or cancel applications
3. Application and Account Creation
3.1 Account Registration
To apply for funding, you must create an account by providing:
- Contact information (name, email, phone number)
- Business information (business name, EIN, address, industry)
- Financial information (revenue, time in business)
- Any other information we request
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Using strong passwords and secure access methods
- Notifying us immediately of any unauthorized access or security breach
We recommend using passwords with at least 12 characters, including uppercase, lowercase, numbers, and special characters.
3.3 Account Accuracy
You agree to:

4. Funding Terms and Conditions
4.1 Funding Applications
When you submit a funding application, you:
- Authorize us to obtain credit reports and background checks
- Consent to verification of information with third parties
- Authorize us to contact you via phone, email, SMS, or mail
- Understand that application submission is not a commitment to provide funding
- Acknowledge that we may share your application with funding partners
4.2 Underwriting and Approval
Our underwriting process considers multiple factors including:
- Credit history and credit scores
- Business financial performance
- Time in business
- Industry and business type
- Debt-to-income ratios
- Cash flow analysis
- Collateral (if applicable)
- Other relevant business metrics
Approval criteria may vary by product and are subject to change.
4.3 Funding Agreements
If approved for funding, you will receive a formal funding agreement (“Funding Agreement”) that includes:
- Funding amount
- Repayment terms and schedule
- Annual Percentage Rate (APR) or factor rate
- Fees and charges
- Payment method
- Default provisions
- Other material terms
You are not obligated to accept funding. You must review and electronically sign the Funding Agreement before funds are disbursed.
4.4 Fees and Charges
Fees may include but are not limited to:
- Origination fees
- Processing fees
- Administrative fees
- Late payment fees
- Returned payment fees
- Prepayment penalties (if applicable)
All fees will be clearly disclosed in your Funding Agreement before you sign.
4.5 Truth in Lending Disclosures
As required by federal and state law, we will provide you with all required disclosures, including:
- APR (Annual Percentage Rate)
- Finance charges
- Total amount financed
- Total payments
- Payment schedule
These disclosures will be provided before you enter into any funding agreement.
4.6 Repayment Terms
Repayment terms vary by product and may include:
- Fixed payments: Scheduled payments of principal and interest
- ACH withdrawals: Automated daily, weekly, or monthly payments
- Revenue-based: Percentage of daily or weekly sales
- Receivables purchase: Payments based on collected invoices
You authorize us or our servicing agents to debit your bank account according to the payment schedule in your Funding Agreement.
4.7 Prepayment
Some funding products may allow prepayment without penalty, while others may include prepayment fees. Prepayment terms will be specified in your Funding Agreement.
4.8 Default and Remedies
You will be in default if you:
- Fail to make payments as scheduled
- Provide false or fraudulent information
- Declare bankruptcy
- Breach any provision of your Funding Agreement
- Cease business operations
Default remedies may include:
- Acceleration of all amounts due
- Collection activities
- Reporting to credit bureaus
- Legal action to recover amounts owed
- Recovery of attorney fees and collection costs
- Exercise of security interests (if applicable)
4.9 Personal Guarantees
Business funding may require a personal guarantee from business owners. By providing a personal guarantee, you agree to be personally liable for repayment of the funding obligation.
5. Use of the Site
5.1 License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful purposes in accordance with these Terms. This license does not include:
- Resale or commercial use of the Site or its content
- Collection or use of product listings, descriptions, or prices
- Derivative use of the Site or its content
- Downloading or copying of account information for the benefit of another party

Note: You cannot opt out of transactional communications related to your account or funding obligations.

Your consent is not a condition of receiving any services from us, but may limit our ability to contact you.

- LOSS OF OR DAMAGE TO BUSINESS, REPUTATION, OR GOODWILL
- BUSINESS INTERRUPTION
- COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
ARISING OUT OF OR RELATING TO:
- Your use or inability to use the Site or services
- Any transaction or funding agreement
- Unauthorized access to or alteration of your data
- Third-party conduct or content
- Any other matter relating to the Site or services
11.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
- $100.00
11.3 Essential Purpose

12. Indemnification
12.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Sprint Funding, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to:

- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights
- Any fraudulent or false information you provide
- Your funding obligations and agreements
- Any content you submit or transmit through the Site
12.2 Defense and Settlement
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You may not settle any claim without our prior written consent.
13. Dispute Resolution
13.1 Governing Law
These Terms and any disputes arising out of or relating to these Terms or the services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Federal laws of the United States also apply where applicable.
13.2 Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the services (including disputes about the validity, scope, or enforceability of this arbitration agreement) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Arbitration Procedures:
- The arbitration shall be conducted by a single arbitrator
- The arbitration shall take place in San Diego County, California, or at another mutually agreed location
- The arbitrator’s decision shall be final and binding
- Judgment on the arbitration award may be entered in any court with jurisdiction
- Each party shall bear its own costs and attorney fees unless the arbitrator awards costs and fees to the prevailing party
Exceptions to Arbitration:
The following disputes are not subject to arbitration:
- Claims in small claims court (within jurisdictional limits)
- Claims for injunctive or equitable relief to protect intellectual property rights
- Collection actions for amounts owed under a Funding Agreement
13.3 Class Action Waiver
YOU AND SPRINT FUNDING AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
You and Sprint Funding agree to waive any right to:
- Participate in a class action lawsuit
- Participate in a class-wide arbitration
- Participate in any consolidated or representative proceeding
13.4 Jury Trial Waiver
YOU AND SPRINT FUNDING WAIVE ANY RIGHT TO A JURY TRIAL in any litigation arising out of or relating to these Terms or the services.
13.5 Venue and Jurisdiction
If arbitration does not apply or is unenforceable, you agree that any legal action or proceeding shall be brought exclusively in the federal or state courts located in San Diego County, California. You consent to the personal jurisdiction and venue of these courts and waive any objection to such jurisdiction or venue.
13.6 Limitation on Time to File Claims
Any claim or cause of action arising out of or relating to these Terms or the services must be filed within one (1) year after the claim or cause of action arises. After one year, such claim or cause of action is permanently barred.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy and any Funding Agreement you enter into, constitute the entire agreement between you and Sprint Funding regarding the Site and services, and supersede all prior agreements, understandings, and communications.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision shall be effective only if in writing and signed by an authorized representative of Sprint Funding.
14.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.
Any attempted assignment in violation of this provision is void.
14.5 Relationship of Parties
Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Sprint Funding. You have no authority to make or accept any offers or representations on our behalf.
14.6 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including:
- Acts of God (natural disasters, fires, floods)
- War, terrorism, or civil unrest
- Government actions or regulations
- Labor disputes or strikes
- Telecommunications or internet failures
- Power outages or equipment failures
- Pandemics or public health emergencies
14.7 Survival
Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.
14.8 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
14.9 No Third-Party Beneficiaries
These Terms are for the benefit of Sprint Funding and you, and are not intended to confer any rights or benefits on any third party, except as expressly provided herein.
14.10 Electronic Signatures
You agree that electronic signatures, contracts, orders, and other records, and electronic delivery of notices, policies, and records of transactions initiated or completed through the Site will be legally binding and enforceable, equivalent to written signatures and paper records.
15. State-Specific Provisions
15.1 California Residents
If you are a California resident, you may have these Terms mailed to you by sending a letter to the address provided in Section 17 below.
Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice:

To help the government fight the funding of terrorism and money laundering activities, federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an account or applies for funding.
When you apply for funding, we will ask for your name, address, date of birth, and other information that will allow us to identify you.
